DIGITAL MEDIA LICENSE AGREEMENT

This License Agreement ("Agreement") is a legal agreement between:

Licensor: Designeramic

Licensee: The individual or entity that has purchased and downloaded the Media

Effective Date: The date of purchase/download of the Media

Grant of License

Upon receipt of full payment, Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable, worldwide license to use the downloaded photos and/or videos (collectively, the "Media") in accordance with the terms outlined below.

Permitted Uses

Licensee may use the Media for:

• Personal and commercial projects, including websites, advertisements, social media, presentations, publications, and video productions.
  
• Modification and adaptation of the Media for the above purposes, provided such use does not violate this Agreement.
  

Prohibited Uses

Licensee may not:

• Use for training AI image generation systems.
• Resell, redistribute, sublicense, share, or make the Media available for download or use by others, either in original or modified form.
  
• Use the Media in products where the Media is the primary value (e.g., stock libraries, digital wallpapers, NFT assets, or templates).
  
• Use the Media in defamatory, obscene, unlawful, or misleading contexts.
  
• Claim copyright or authorship of the original Media.
  

Ownership

The Licensor retains full ownership and copyright of all Media. Licensee acquires usage rights only as granted under this Agreement.

No Warranty

The Media is provided "as is," without warranty of any kind, express or implied. Licensor does not guarantee the Media will meet specific requirements or be error-free.

Limitation of Liability

In no event shall Licensor be liable for any damages arising out of or connected to the use or inability to use the Media, including incidental or consequential damages.

Limitation of Liability

This license is effective until terminated. Licensor may terminate this Agreement immediately upon notice if Licensee breaches any of its terms. Upon termination, Licensee must cease all use of the Media and destroy all copies in their possession.

Governing Law

This Agreement shall be governed by and construed under the laws of the United States, without regard to conflict of law provisions.

By purchasing and downloading the Media, the Licensee acknowledges and agrees to be bound by the terms of this License Agreement.
